Terms of Service for Tools.AI

Welcome to Tools.AI. These Terms of Service (“Terms”) govern your access to and use of the website, content, and services (collectively, the “Services”) provided by Tools.AI, LLC, a Wyoming limited liability company (“Tools.AI,” “we,” “us,” or “our”).
PLEASE READ THESE TERMS CAREFULLY. BY ACCESSING OR USING OUR SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS AND OUR PRIVACY POLICY. IF YOU DO NOT AGREE TO THESE TERMS, YOU MAY NOT ACCESS OR USE OUR SERVICES.
1. Agreement to Terms
By creating an account, submitting a listing, or otherwise accessing or using our Services, you represent that you have read, understood, and agree to be bound by these Terms. If you are using the Services on behalf of an organization or entity, you represent and warrant that you are authorized to agree to these Terms on that entity’s behalf and bind them to these Terms.
2. Eligibility
You must be at least 18 years of age to use the Services. By agreeing to these Terms, you represent and warrant that you are of legal age to form a binding contract with Tools.AI.
3. Changes to Terms or Services
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide reasonable notice prior to any new terms taking effect, such as by posting the updated Terms on the site. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms.
4. User-Generated Content
You are responsible for any information, tool listings, reviews, comments, or other materials you post, upload, or otherwise make available through the Services (“User Content”).
A. Grant of License: By providing User Content, you grant Tools.AI a perpetual, irrevocable, worldwide, non-exclusive, royalty-free, fully-paid, transferable, and sub-licensable license to use, copy, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display your User Content in any and all media or distribution methods for any purpose, including for promoting Tools.AI and its Services,
B. Your Representations and Warranties: You represent and warrant that: (i) you own or have all necessary licenses, rights, consents, and permissions to your User Content; (ii) your User Content is accurate, complete, and not misleading; and (iii) your User Content does not and will not infringe, misappropriate, or violate a third party’s intellectual property rights, rights of publicity or privacy, or any applicable law or regulation.
5. Paid Services: Listings and Subscriptions
We offer optional paid services of different tiers, some of which are provided as automatically renewing subscriptions.
A. Subscriptions: By purchasing a subscription for a paid listing (“Subscription”), you agree to pay the applicable subscription fees and any taxes.
B. Billing and Automatic Renewal: Your Subscription will automatically renew at the end of each subscription period (e.g., annually) unless you cancel it through your account settings before the renewal date. You authorize us to charge your selected payment method for the renewal term.
C. Fee Changes: We reserve the right to change our subscription fees. Any fee changes will apply to the next subscription period following notice of the change to you. We will provide reasonable prior notice of any fee changes to give you an opportunity to cancel your Subscription before such change becomes effective.
D. Payment Information: You must provide current, complete, and accurate payment information. You must promptly update all information to keep your billing account current (such as a change in billing address, credit card number, or expiration date).
E. Cancellation: You may cancel your Subscription at any time. The cancellation will take effect at the end of the current paid term. Upon cancellation, your paid listing features will remain active until the end of the billing cycle, after which they will be removed or reverted to a basic listing.
F. No Refunds: PAYMENTS ARE NON-REFUNDABLE AND THERE ARE NO REFUNDS OR CREDITS FOR PARTIALLY USED PERIODS. Following any cancellation, however, you will continue to have access to the service through the end of your current billing period.
G. Subject to Review: ALL LISTINGS ARE SUBJECT TO REVIEW AND APPROVAL BEFORE PUBLISHING. Paid subscriptions are not a guarantee that submitted listings will be approved. We reserve the right to reject listings that do not align with the our Services. Our review process is subjective and may take several business days to complete.
6. Prohibited Conduct
You agree not to use the Services to:
- Post or distribute any User Content that is unlawful, defamatory, inaccurate, or otherwise objectionable.
- Violate any local, state, national, or international law.
- Infringe on or violate the intellectual property rights or any other rights of anyone else.
- Use any robot, spider, scraper, or other automated means to access the Services for any purpose without our express written permission.
- Introduce any viruses, trojan horses, worms, or other material that is malicious or technologically harmful.
- Attempt to gain unauthorized access to, interfere with, or disrupt any parts of the Services.
7. Monitoring, Enforcement, and Termination
We reserve the right, but not the obligation, to:
- Remove, edit, or refuse to post any User Content for any reason.
- Take any action we deem necessary or appropriate, including if we believe User Content violates these Terms, infringes on any right, threatens user safety, or creates liability for Tools.AI.
- Terminate or suspend your access to all or part of the Services for any reason, including any violation of these Terms, without prior notice or liability.
8. Intellectual Property Rights
The Services and their entire contents, features, and functionality are owned by Tools.AI, LLC, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, and other intellectual property laws.
9. Disclaimers
A. Service Provided “AS IS”: YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
B. No Endorsement of Third-Party Tools: Tools.AI is a directory of third-party tools. The inclusion of any tool, service, or link on our Services does not imply our affiliation, endorsement, or approval. We are not responsible for the content, quality, safety, or practices of any third-party tools or websites. YOUR USE OF ANY THIRD-PARTY TOOL LISTED ON OUR SERVICES IS ENTIRELY AT YOUR OWN RISK.
10. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL TOOLS.AI, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SERVICES, ANY WEBSITES LINKED TO IT, ANY CONTENT ON THE SERVICES, OR ANY THIRD-PARTY TOOLS OR SERVICES OBTAINED THROUGH OUR SERVICES.
11. Indemnification
You agree to defend, indemnify, and hold harmless Tools.AI, LLC, its affiliates, licensors, and their respective officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to:
- Your violation of these Terms of Service.
- Your User Content, including any claim that it infringes on a third party’s intellectual property rights.
- Your use of the Services other than as expressly authorized in these Terms.
- Any product, service, or business you promote via a listing on the Services, including any claims made by end-users of your tool or service.
12. Governing Law and Jurisdiction
All matters relating to the Services and these Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without giving effect to any choice or conflict of law provision. Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Services shall be instituted exclusively in the federal courts of the United States or the courts of the State of Wyoming, in each case located in the county where Tools.AI, LLC maintains its principal place of business.
13. General Terms
A. Entire Agreement: These Terms and our Privacy Policy constitute the entire agreement between you and Tools.AI, LLC regarding the Services.
B. Waiver and Severability: No waiver by Tools.AI of any term shall be deemed a continuing waiver. If any provision is held by a court to be invalid or unenforceable, such provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions of the Terms will continue in full force and effect.
